1. Scope
Clisha Social is a service provided by VQualis Limited, Grand Industrial Building, Office 7/F, 159-165 Wo Yi Hop Road, Kwai Chung, Hong Kong. These Terms of Service (TOS) govern the contractual relationship between Clisha Social and business users, hereinafter referred to as "Customers," who use the platform for automated social media posting. The service is exclusively designed for business clients as defined by applicable commercial laws. Private individuals may use the services, but they are not the primary target audience.
2. Subject of the Agreement (Service Description)
Clisha Social provides businesses and influencers with an automated social media posting platform. Customers can upload, schedule, and automatically publish content across various social media networks. The platform offers a centralized management interface that allows users to prepare posts for multiple platforms and publish them at predetermined times. Clisha Social currently supports Facebook, Instagram, LinkedIn, and other platforms, which are continuously being expanded. Additionally, the platform provides analytics on the performance of published posts, helping customers optimize their social media strategies.
3. Registration and Contract Conclusion
Customers must register on the Clisha Social platform and subscribe to a paid plan. The contract becomes effective once the registration is confirmed by Clisha Social and the payment for the selected subscription is successfully processed. Clisha Social reserves the right to reject customers or suspend accounts if the terms of service are violated.
4. Pricing, Payment Terms & Subscription Duration
The Clisha Social Core subscription is priced at €20 per month or €200 per year. All current product offers, upgrades, and additional services can be found on the Clisha Social website and may change periodically. Payment can be made via available payment methods such as credit card, PayPal, and others. The subscription renews automatically unless canceled at least 14 days before the renewal date.
5. Usage Rights & Platform Restrictions
The use of Clisha Social is strictly limited to managing and publishing social media content owned by the customer. Customers are responsible for ensuring they have the necessary rights for all content published through the platform. The use of the platform for distributing illegal content, spam, or copyrighted materials without permission is strictly prohibited. Clisha Social reserves the right to suspend platform access if these conditions are violated.
6. Termination & Account Suspension
Monthly and annual subscriptions renew automatically unless canceled at least 14 days before the expiration date. If a payment is not received, the account will be suspended until payment is completed. Clisha Social reserves the right to terminate the contract without notice if the customer violates the terms of service or applicable laws.
7. Liability & Warranty
Clisha Social is not liable for any financial losses resulting from the use of the platform. Customers are responsible for complying with the policies of each social media network and ensuring they do not risk bans or penalties from third-party platforms. Clisha Social does not guarantee uninterrupted service and is not responsible for system failures, technical issues, or limitations caused by API changes or restrictions imposed by supported social media networks.
8. Data Protection & Use of Data within the VQualis Ecosystem
Clisha Social collects and processes personal data in accordance with its privacy policy. Business customer data may be used within the VQualis ecosystem to optimize services and provide personalized recommendations. Data will not be shared or sold to third parties unless legally required. Customers may request the deletion of their data at any time by sending an email to privacy@clishasocial.com.
9. Governing Law & Jurisdiction
These terms are governed by the laws of Hong Kong, as the company is headquartered there. The exclusive jurisdiction for any disputes arising from these terms is Hong Kong, unless mandatory legal provisions specify otherwise.
10. Changes to the Terms of Service
Clisha Social reserves the right to modify these Terms of Service at any time. Changes will be published on the website and will take effect automatically 14 days after publication unless an objection is made.
